In order to stabilize the supply of potash and meet the rising demand of Potash for agricultural production in China, Sinofert and Canpotex entered into a new MOU on Oct. 20, 2010, pursuant to which the parties agreed to enter into transactions for a term of three years from 2011 to 2013.The MOU and the transactions contemplated thereunder are subject to the reporting,announcement and independent shareholders'approval requirements under the Listing Rules. Sinofert will be the exclusive agent for Canpotex in terms of Canadian potash sales in the Chinese market during the above period.
